Embark on a crucial role as the Company Secretary at CS Energy, reporting to the General Counsel and Board Chair. Due to internal promotion, this exciting opportunity has opened up for a career centric professional. Your expertise will shape governance, ensuring statutory compliance and supporting the Board and Committees.

Your influence will extend to crafting precise meeting minutes, maintaining statutory records, and orchestrating seamless meetings. You will contribute to strategic decisions and play a central part in shaping the governance landscape of CS Energy whilst making a lasting impact.

About the role

As the Company Secretary at CS Energy, you will:

• The delivery of succinct and accurate meeting minutes, preparation of agendas, and monitor and track completion of required actions
• Ensuring CS Energy and its subsidiaries complies with all its statutory obligations under any relevant laws and regulations
• Managing and maintaining all statutory records and registers
• Completion and lodgment of all statutory forms and reporting under the Corporations Act (and the Government Owned Corporations Act),
• Arrange all Board and Committee meetings
• Electronic posting of agendas, Board papers and minutes in Diligent prior to meetings
• Provide guidance to the Directors and Management team on various governance matters
• Attending to the signing of company contracts and other documentation as required
• Coordinate the orientation and induction of Board Directors to ensure responsibilities and accountabilities are understood
• Maintain the contact details of Board Directors and Committee members and keep Director’s bios up to date
• Planning and preparation of the yearly Board and Committee meeting schedule, this includes liaising with CEO and Chair of the Board.

About You

To be successful in this role you will have the following skills and experience:

• Tertiary qualification in business, law or accounting
• Chartered Secretary or Corporate Governance qualification
• Significant, relevant legal experience ideally gained by working in the legal field.
• Previous experience providing practical governance within a Government Owned Corporation will be highly regarded.
• Exemplary communication skills.
• Innovative mindset and not constrained by conventional approaches.
• Demonstrated experience in developing and advancing relationships between the Company Secretariat function and shareholders.
• Supervising staff, dealing with, and advising Boards and senior management on strategic issues
• Ability to build strong relationships with senior managers, stakeholders and board representatives to facilitate the delivery of superior governance solutions and outcomes
